1. Acceptance of Terms

By accessing or using ArchitonX's platform, website, mobile applications, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you (the "User") and ArchitonX Technologies LLC ("ArchitonX," "we," "us," or "our"), a company registered in the United Arab Emirates. We reserve the right to modify these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

2. Description of Services

ArchitonX provides an AI-native construction project management platform designed for homeowners, contractors, consultants, and other stakeholders in the UAE construction industry. The Services include but are not limited to:

• Project management and collaboration tools • AI-powered document analysis and risk detection • Budget tracking and financial management • Meeting management and minute generation • Issue tracking and resolution workflows • Tender management and contract tracking • Supplier and subcontractor portal access • Quality assurance and inspection tools

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

3. User Accounts

To access the Services, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your login credentials • All activities that occur under your account • Notifying us immediately of any unauthorized use of your account • Ensuring that your account information remains accurate and up to date

You must be at least 18 years of age to create an account. Organizations may create accounts on behalf of their employees or agents, provided the organization accepts responsibility for compliance with these Terms.

We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for an extended period.

4. Subscriptions and Payment

ArchitonX offers tiered subscription plans (Starter, Professional, and Enterprise). Subscription fees are billed in advance on a monthly or annual basis depending on the plan selected.

• All fees are quoted in United Arab Emirates Dirhams (AED) unless otherwise stated • Payments are processed through secure third-party payment processors • Subscription renewals are automatic unless cancelled before the renewal date • Refunds are handled in accordance with our refund policy and applicable UAE consumer protection laws • We reserve the right to adjust pricing with 30 days' advance notice • Failure to pay may result in suspension or termination of access to the Services

Taxes, including UAE Value Added Tax (VAT), will be applied where required by law.

5. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, design, trademarks, logos, and documentation, are owned by ArchitonX or its licensors.

You retain ownership of all data and content you upload to the platform ("User Content"). By uploading User Content, you grant ArchitonX a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely for the purpose of providing the Services.

You may not: • Copy, modify, or distribute any part of the Services without prior written consent • Reverse engineer, decompile, or disassemble any aspect of the platform • Use the Services to develop a competing product or service • Remove or alter any proprietary notices or labels on the Services

6. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Services to transmit harmful, offensive, or illegal content • Attempt to gain unauthorized access to any part of the Services or related systems • Interfere with or disrupt the integrity or performance of the Services • Use automated tools (bots, scrapers) to access the Services without authorization • Share your account credentials with unauthorized third parties • Upload content that infringes on the intellectual property rights of others • Use the Services in any manner that could damage, disable, or impair the platform

Violation of these restrictions may result in immediate termination of your account.

7. Data Privacy and Security

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data. By using the Services, you consent to our data practices as described in the Privacy Policy.

We implement industry-standard security measures to protect your data, including encryption in transit and at rest. All data is hosted within the United Arab Emirates in compliance with local data protection regulations.

8. Limitation of Liability

To the maximum extent permitted by applicable law, ArchitonX and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages • Loss of profits, data, business opportunities, or goodwill • Any damages arising from your use or inability to use the Services • Any unauthorized access to or alteration of your data • Any third-party conduct or content on the platform

In no event shall ArchitonX's total aggregate liability exceed the amount paid by you for the Services during the twelve (12) months preceding the claim.

Nothing in these Terms shall limit liability for fraud, gross negligence, or any liability that cannot be excluded under UAE law.

9. Indemnification

You agree to indemnify, defend, and hold harmless ArchitonX, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Services • Your violation of these Terms • Your violation of any applicable law or regulation • Any content you upload or submit through the Services • Any dispute between you and a third party relating to the Services

10. Termination

Either party may terminate the agreement at any time:

• You may cancel your account at any time through the account settings • ArchitonX may suspend or terminate your access if you violate these Terms • Upon termination, your right to use the Services ceases immediately • We will provide a reasonable period for you to export your data before permanent deletion • Provisions that by their nature should survive termination shall remain in effect

Any outstanding fees owed at the time of termination remain payable.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates, unless the parties agree to resolve the dispute through arbitration administered by the Dubai International Arbitration Centre (DIAC).

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make material changes:

• We will notify you via email or through the platform at least 30 days before the changes take effect • The updated Terms will be posted on this page with a revised "Last Updated" date • Your continued use of the Services after the effective date constitutes acceptance of the updated Terms

If you do not agree to the revised Terms, you must stop using the Services and close your account.
